Traded on the SIX Swiss Exchange on the symbol LAND since 2017, Landis+Gyr's Board of Directors is appointed by our shareholders to help steer the company toward continued advancement in energy management solutions. In accordance with organizational regulations, this Board includes an Audit, Finance & Risk Committee, a Remuneration Committee and a Nomination, Governance & Sustainability Committee.

Board of Directors

The Board of Directors is entrusted with the ultimate direction of the Company and the Group as well as the supervision of the management. The Board determines the strategy of the Group in alignment with the CEO. The Board consists of minimum three Directors who are elected by the General Meeting for a term of office of one-year. The Board aims for suitable diversity in the Directors with regard to competences, experience, gender, age, background and origin.

Audrey Zibelman

Audrey Zibelman, Chair and independent Director, is a US citizen, born in 1957. She has been a member of the Board of Directors since June 2023, and Chair since 2025.
She currently serves as Senior Advisor with Alvarez & Marsal Energy since 2025. She is the Founder and CEO of Zibelman Energy Advisors since 2023. Ms. Zibelman also serves as a Board member of Squadron Energy Pty since 2022 and Emirates Water and Electric Company (EWEC) since 2025. In addition, she has served as Co-Chair of the Distributed Energy Resources (DER) Advisory Council at the Pew Charitable Trust since 2024.
Prior to these roles, she served as a member of the Advisory Board of Meridiam from 2022 to 2026. She served as a Board member of Sosteneo SGR from 2023 to 2025 and was also a member of the Board of Directors of SunPower Inc. (NYSE: SPWR), SPAN.io, EarthGrid PBC, EOS Energy (NYSE: EOSE) and Pollination Global Holdings Ltd., as well as a trustee of the RMI Board of Trustees and a member of the National Infrastructure Advisory Council.
Her executive career includes leadership roles such as Vice President at X, Alphabet’s Moonshot Factory (2021–2022), Managing Director and CEO of the Australian Energy Market Operator (2017–2020), Chair and CEO of the New York Public Services Commission (2013–2017), Founder, President and CEO of Viridity Energy, Inc. (2007–2013), EVP and COO of PJM, LLC (2004–2007), Chair, President and CEO of TRANSLink, LLC (2001–2004), and Vice President and Counsel of and to Xcel Energy (1991–2001).
She holds a B.A. in English from Penn State University and a J.D. from Hamline School of Law.

Eric Elzvik, Vice Chair and Chair of the Nomination, Governance & Sustainability Committee, is a Swiss citizen, born in 1960. He has been a member of the Board of Directors since 2017.
Mr. Elzvik also currently serves as board member and Chair of the audit committee of AB Volvo (STO: VOLV), board member and chair of the audit and compliance committee at LM Ericsson Telephone Company (STO: ERIC), chair of Global Connect Group and Advisory Board chair of Deutsche Glasfaser Group. He is also Senior Industrial Advisor to EQT Group.
Between 2013 and 2017, Mr. Elzvik served as Chief Financial Officer and Member of the Group Executive Committee of ABB Ltd. Prior to his role as CFO of ABB, Mr. Elzvik served as Division CFO ABB Discrete Automation & Motion (2010-2013) and division CFO Automation Products Division (2006-2010) at ABB Ltd, Zurich. Earlier in his career, Mr. Elzvik had various positions within the ABB Group beginning 1984, including senior management positions within finance, mergers & acquisitions, and new ventures.
Mr. Elzvik holds a Master of Business Administration (Civilekonom), Stockholm School of Economics, Sweden.
Brett Carter

Brett Carter, an independent Director and US citizen, born in 1966. He has been a member of the Board of Directors since 2025.
Mr. Carter currently also serves as a Board member of Algonquin Power & Utilities Corp. (TSX: AQN) and chair of the Human Resources and Compensation Committee (2024 to present).
He served as a Board member of Graco, Inc. from 2021 to 2026. Prior to that, he served as a EVP, Group President, and Chief Customer Officer at Xcel Energy from 2018 to 2023. He also held key roles such as SVP & Shared Services Executive at Bank of America (2015–2018) and SVP & Chief Distribution Officer at Duke Energy (2005–2015). His foundational experience includes positions at Aquila, Consolidated Natural Gas Company, SmithKline Beecham, Penney OpCo, and Equibank.
Mr. Carter holds a Master of Business Administration from the University of Pittsburgh and a B.S. in Accounting from Pennsylvania Western University.
Steve Louden

Steve Louden, an independent Director and US citizen, born in 1972. He has been a member of the Board of Directors since 2025.
Mr. Louden currently also serves a member of the Board of Directors of Zumiez Inc. (NASDAQ: ZUMZ).
From 2023 to 2024 he served as a Member of the Board of Directors of Sunpower. He served as CFO of Roku from 2015 to 2023.
Prior to that, he served as Vice-President, Treasurer of Expedia (2009–2015) and SVP, Retail Bank Finance and Strategy of Washington Mutual (2003–2009).
His foundational experience also includes roles as a Senior Associate at McKinsey & Company (2001–2003), Manager, Business Development, Disney Regional Entertainment at The Walt Disney Company (1995–1999), and Financial Analyst, Investment Banking Group at Merrill Lynch (1994–1995).
Steve received his Master of Business Administration in Management from Harvard Business School in 2001, and his Bachelor of Arts degree in Economics and Mathematics from Claremont McKenna College in 1994.

Mr. Rauch is Co-Founder and Managing Partner of Spectrum Entrepreneurial Ownership (SEO) (since 2022). He served as a Board member at u-blox Holding AG (SIX: UBXN) from 2024 to 2025. Prior to this, he was a partner at ENA Investment Capital (2018–2021), Vice President at Cevian Capital (2010–2017) and Consultant at Oliver Wyman (2009–2010).

Mr. Spreiter served as Group CFO and Member of the Executive Board of Forbo from 2013 until 2017. Prior to this, between 1993 and 2012, Mr. Spreiter worked at Landis+Gyr/Siemens Metering, first as a Business Unit Controller/Head of Finance & Controlling (1993-2000), then as Business Unit Head Digital Meters/Head of Center of Competence Electronic Meters (2000-2002) and then as Group CFO (2002-2012).

Ms. Stercken currently is a member of the board of directors and Chair of the Sustainability and Risk Committee of Ansell Ltd. (ASX: ANN) since 2017 and member of the Supervisory Board of TeamViewer SE (FRA: TMV) since 2023. Ms. Stercken is also the Chairwoman of Myanmar Foundation, a nonprofit organization for social projects in Myanmar, since 2025, and member of the Board since 2001. She was a member of the China Strategy Advisory board of Hoerbiger Holding AG (2019 to 2023) and between 2014 and 2020 she was a Board member of Ascom Holding AG (SIX: ASCN). From 2006 to 2017 she was a partner in EAC International Consulting. Before joining EAC, Ms. Stercken served as Managing Director Corporate Finance M&A of Siemens AG. Among other management positions within Siemens AG, she was responsible for the Siemens Task Force China and Head of Public Sector Business Unit at the former Siemens Business Services. Since 2020 she is CEO of Tolson Consulting Company. Ms. Tolson also currently serves as member of the board of directors of Delek US Holdings (NYSE: DK) since 2021, and member of the Board of Plurasight since 2024. Prior to this, she was Chief Digital Officer of Wabtec/GE Transportation, Inc. (2017–2020); CEO/Global Product Group Head, Enterprise Software (2016–2017) and EVP Product & Strategy, ABB Enterprise Software of ABB, Inc. (2012–2016); Vice President Systems Management Software of Dell, Inc. Peter Mainz, Chief Executive Officer (CEO), is an Austrian citizen. Mr. Mainz was appointed CEO in November 2024. He has been a member of the Board of Directors of Landis+Gyr since June 2018. He currently also serves as member of the Board at Metron Farnier. Mr. Mainz has been a Board member of Itron and Chairman of the Board at Metasphere Ltd.
Prior to this he served as President and CEO of Sensus and held other positions at Sensus including Executive VP of Operations and CFO. Earlier in his career he was in various positions at Invensys including VP Finance Metering Systems Division and was a controller at Schlumberger. He holds a Bachelor in Business Administration and Computer Science from the Johannes Kepler University Linz and an MBA from the Texas A&M University.

Davinder Athwal, Chief Financial Officer (CFO), is a UK and US citizen. Mr. Athwal was appointed as Executive Vice President and CFO in April 2025. Davinder Athwal has over 25 years of global financial leadership experience. He joined Landis+Gyr from Phenom, where he was CFO. Prior to that, he held CFO positions within US-based companies, including Output Services Group, Avantax, and UGI International.

A Certified Public Accountant (CPA), Davinder Athwal, holds a BA degree in Accounting & Finance from Kingston University, London, and an MS in Finance from Long Island University, New York.

Holger Klafs, Group General Counsel, is a German citizen. Mr. Klafs was appointed Group General Counsel and Corporate Secretary of Landis+Gyr in November 2020 and to the Group Executive Management in August 2025. Holger Klafs has over 25 years’ experience in various global legal roles. He joined Landis+Gyr from Mann+Hummel, where he was Group General Counsel and Group VP. Prior to that he held Head of Corporate Legal and Strategic Execution positions in the financial markets industry with Deutsche Boerse AG and legal positions with Accenture and PwC. Earlier in his career, he was also a corporate and M&A attorney with the international law firm Mayer Brown.
Admitted to the Bar as an Attorney-at-Law, Holger Klafs studied Law at the University of Constance and University of London (Queen Mary).

Prasanna Venkatesan, Chief Operating Officer, is a U.S. citizen. Mr. Venkatesan was previously the EVP and Head of Americas. He has been with Landis+Gyr since 2006. During his tenure at Landis+Gyr, Mr. Venkatesan has held several leadership roles, including Head of Strategy (2022 to 2024), Head of Americas (2014 to 2021), Senior Vice President and General Manager of Systems & Services for Landis+Gyr North America (2009 to 2013), and Vice President of Research and Development (2008 to 2009).
Prior to this, he served in senior roles at Cellnet Technology, Inc., including Vice President of Supply Chain and Manufacturing Engineering, where he also led the integration of Cellnet Technology into Landis+Gyr following its acquisition in 2007. Prasanna Venkatesan holds a Master of Science in Industrial Engineering from the University of Oklahoma, U.S.
