Landis+Gyr Shareholders Approve all Proposals

Cham, Switzerland – June 24, 2021

Today, the Annual General Meeting (AGM) of Landis+Gyr Group AG (SIX: LAND) took place in Cham without the physical presence of shareholders due to the ongoing COVID-19 situation. Represented by the independent proxy, shareholders approved all proposals put forward by the Board of Directors. Votes were cast by shareholders representing 67.5% of the shares entitled to vote.

The seven members of the Board of Directors standing for re-election as well as Laureen Tolson as new member were appointed for a one-year term of office. Andreas Umbach was re-elected as the Company’s Chairman. Shareholders also ratified the amounts for future compensation for the Board of Directors and the Group Executive Management and, in a consultative vote, approved the financial year 2020 Remuneration Report.

The Annual General Meeting approved the Financial Statements for financial year 2020 as well as the proposal of the Board of Directors to distribute CHF 2.10 per registered share, payable from statutory capital reserves. The distribution will be paid from June 30th, 2021 onwards.
